Agreement to Terms

By accessing or using the services, websites, and applications provided by Paper Trail Limited ("we," "our," or "us"), including but not limited to Reel Reviews (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Paper Trail Limited, a company registered in New Zealand. Our registered address is 1 Tika Street, Parnell, Auckland 1052, New Zealand.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Eligibility

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice.

The Services and their original content, features, and functionality are and will remain the exclusive property of Paper Trail Limited and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Copyright Infringement (DMCA)

Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPER TRAIL LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED NEW ZEALAND DOLLARS (NZD $100), WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless Paper Trail Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of our Services, your User Content, or your violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought exclusively in the courts of New Zealand.

Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Auckland, New Zealand, in accordance with the Arbitration Act 1996 (New Zealand).

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
